END USER LICENSE AGREEMENT

PLEASE READ THIS END USER LICENSE AGREEMENT ("EULA") CAREFULLY BEFORE DOWNLOADING OR USING FERN. BY INSTALLING OR USING THE APPLICATION, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE APPLICATION.
1. License Grant
Subject to the terms of this EULA, Fern ("we," "us," or "our") grants you a limited, non-exclusive, non-transferable, revocable licence to download, install, and use the Fern mobile application (the "Application") on a device you own or control, solely for your personal, non-commercial use.This licence does not include the right to: sub-licence the Application; sell, resell, or distribute it; or use it for any commercial or revenue-generating purpose.
2. Description of Service
Fern is a guided meditation application that:Accepts free-form journal entries and self-rated mood scores (1-10).Generates personalised, AI-produced audio meditation sessions incorporating binaural audio, based on your input.Tracks emotional trends over time and provides insight tools.Stores your generated meditation audio files for playback and download.Fern is a wellness support tool. It is not a medical device and does not provide clinical, psychological, or psychiatric services.
3. Subscriptions and Payments
3.1 Auto-Renewable Subscriptions
Fern offers auto-renewable subscriptions that provide access to the Application's features. Subscriptions are billed through your Apple ID account and managed via the App Store.
3.2 Billing
Payment is charged to your Apple ID account at confirmation of purchase.Your subscription automatically renews unless you cancel at least 24 hours before the end of the current billing period.Your account will be charged for renewal within 24 hours prior to the end of the current period at the same rate.
3.3 Managing and Cancelling Subscriptions
You can manage or cancel your subscription at any time through your device's Settings > Apple ID > Subscriptions. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
3.4 Free Trials
If offered, any unused portion of a free trial is forfeited when you purchase a subscription.
4. Intellectual Property
4.1 Fern Content
All software code, design, branding, audio assets, and content included in or forming part of the Application (other than Your Content, defined below) are the property of Fern or its licensors and are protected by applicable intellectual property laws.
4.2 Your Content
You retain full ownership of your journal entries and the audio files generated from them. You grant Fern a limited licence to process your content solely as necessary to provide the Service, as described in our and .
4.3 Derived Data
Fern may create derived, pseudonymised data (e.g. aggregated emotional trend indicators) from your input. Such derived data does not include your raw journal entries, identifiable personal data, or audio files. See our for full details.
5. Usage Restrictions
You agree not to:a) Copy, modify, adapt, translate, or create derivative works of the Application or any part thereof.b) Reverse-engineer, decompile, disassemble, or attempt to extract the source code of the Application.c) Rent, lease, lend, sell, sublicense, assign, distribute, publish, or transfer the Application or any rights therein to any third party.d) Remove, obscure, or alter any proprietary notice, label, or copyright marking on or within the Application.e) Use the Application for any unlawful, abusive, harassing, defamatory, fraudulent, or otherwise objectionable purpose.f) Attempt to gain unauthorised access to any part of the Service, its servers, or any connected systems.g) Use the Application if you are under 16 years of age, unless you have the verifiable consent of a legal guardian.h) Use the Application as a substitute for professional medical, psychiatric, or psychological care.
6. Data, Privacy, and Third-Party Processing
Your use of Fern involves the processing of journal entries and mood data to generate personalised meditations. This data is transmitted, in pseudonymised form, to third-party services used for natural language processing and audio generation. No personally identifying information (name, email address) is shared with those services, and they are contractually bound not to reuse or retain your data beyond their processing role.Fern's data practices are governed by our and , which are incorporated into this EULA by reference. In the event of any conflict, the Terms and Conditions prevail.
7. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED ACCESS.WE DO NOT WARRANT THAT:THE APPLICATION WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.THE APPLICATION WILL BE ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE.ANY AUDIO CONTENT WILL PRODUCE ANY PARTICULAR THERAPEUTIC, PSYCHOLOGICAL, OR MEDICAL OUTCOME.IF YOU ARE PRONE TO SEIZURES, AUDITORY SENSITIVITY, OR DISORIENTATION, CONSULT A MEDICAL PROFESSIONAL BEFORE USING BINAURAL AUDIO FEATURES.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FERN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE APPLICATION — INCLUDING, WITHOUT LIMITATION, LOSS OF DATA, LOSS OF PROFITS, PERSONAL INJURY, OR EMOTIONAL DISTRESS — EVEN IF FERN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.TO THE EXTENT FERN'S LIABILITY CANNOT BE FULLY EXCLUDED, OUR TOTAL AGGREGATE LIABILITY TO YOU IN RESPECT OF ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APPLICATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.Nothing in this EULA limits liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence or for fraudulent misrepresentation.
9. Termination
9.1 Your Rights
You may terminate this EULA at any time by deleting the Application from your device. You may also request deletion of your account and associated data through the Profile section of the Application or by contacting us.
9.2 Our Rights
Fern may suspend or terminate your access to the Application at any time, with or without notice, if you breach any provision of this EULA, our Terms and Conditions, or applicable law, or if we discontinue the Application.
9.3 Effect of Termination
Upon termination, the licence granted under Section 1 ends immediately. Sections 4, 5, 7, 8, and 10 survive termination.
9.4 Data on Termination
Upon account deletion, Fern will delete your personal data or pseudonymise it, in accordance with applicable law and our .
10. Governing Law and Dispute Resolution
This EULA is governed by and construed in accordance with the laws of the State of Connecticut, United States of America, without regard to its conflict-of-law principles.Any dispute arising out of or in connection with this EULA that cannot be resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in Connecticut, and you consent to the personal jurisdiction of those courts.If you are a consumer resident in the European Union, you retain any mandatory protections afforded to you under the laws of your country of residence, and nothing in this EULA limits those rights.
11. Changes to This EULA
We may update this EULA from time to time. The "Last Updated" date at the top of this document will reflect the current version. Continued use of the Application after changes are posted constitutes your acceptance of the revised EULA. For material changes, we will provide notice via the Application or by email.
